By accessing or using the Platform, you, your employees, and any authorized subcontractors (collectively, the "User" or "You") agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. If you do not agree to these terms, you must not access or use the Platform.
1. Scope of Service and License Grant
Digitaltouchology provides an interactive project management, site visibility, and compliance tracking system specifically engineered for construction environments. Subject to strict compliance with these terms and the timely payment of all applicable subscription fees, Digitaltouchology grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business and site management operations.
2. User Accounts and Access Security
To access specific modules of the Platform, site administrators, engineers, and field workers must create or be assigned an authorized user profile.
- Account Responsibility:Users are entirely responsible for maintaining the confidentiality of their unique login credentials and PIN numbers.
- Corporate Liability:Any activity occurring under an assigned account is the sole responsibility of the corporate entity managing the active site subscription. You agree to notify us immediately of any unauthorized use or security breach.
3. Module-Specific Compliance Obligations
The Platform offers dedicated modules that carry explicit operational, safety, and legal implications. Users must adhere to the strict rules governing these features:
A. The Interactive Safety Board
The Digital Safety Board serves as an active, real-time field ledger. Unauthorized tampering, intentional deletion, or falsification of site concerns, daily objectives, contractor delivery timelines, or milestone dates is strictly prohibited. The corporate subscriber remains solely responsible for validating the accuracy of all data committed to the dashboard.
B. Squad Briefings and Digital Sign-Offs
The signature capture functionality within the Squads module is explicitly designed to create an unalterable compliance record. You agree that capturing a digital touchscreen signature or mobile sign-off constitutes a valid, legally binding acknowledgment that the signing individual has attended and understood the designated daily operational and safety briefing.
C. Toolbox Talks and Mandatory Safety Videos
The Platform serves as a critical verification framework for health and safety compliance. Bypassing, fast-forwarding, or generating fraudulent touch-signatures for daily safety videos without actual workforce viewership is a material breach of these terms. Digitaltouchology assumes no liability if a subscriber fails to enforce physical viewership compliance on-site.
D. Custom Whiteboards and Blueprint Uploads
Site engineers may upload site maps, architectural plans, and CAD documents to the interactive canvas layer.
- Ownership:Users retain all intellectual property rights to their uploaded blueprints and project files.
- Operational License:By uploading content, you grant Digitaltouchology a secure, worldwide, royalty-free license to host, cache, render, and transmit these files across your synchronized project hardware.
4. Acceptable Use and Prohibited Conduct
Users agree to use the Platform strictly for lawful construction management activities. You shall not, and shall not permit any third party to:
- Attempt to reverse engineer, decompile, or copy the source code, hardware integration protocols, or proprietary touchscreen local caching mechanics.
- Upload malicious software, viruses, or corrupted file formats intended to disrupt real-time cloud synchronization.
- Falsify compliance documents, structural certificates, or machinery operator permits within the Digital Certificate Vault.
- Use the touchscreen hardware interfaces in an abusive, physically damaging, or destructive manner.
5. Network Synchronization and Offline Caching Disclaimers
Digitaltouchology utilizes an advanced offline-first architecture to accommodate the unstable internet connectivity common to active construction environments.
- While the local field terminals securely cache digital signatures, logs, and board updates locally, Digitaltouchology is not liable for data conflicts, synchronization delays, or temporary data loss caused by prolonged hardware disconnection, site power surges, or local network infrastructure failures.
- It is the subscriber's responsibility to ensure field terminals are occasionally connected to a stable network to push local cached logs to the cloud ledger.
6. Intellectual Property Rights
All software code, user interface designs, visual layouts, proprietary caching algorithms, trademarks, and branding associated with Digitaltouchology are the exclusive property of Digitaltouchology and its licensors. Except for the explicit project blueprints, text inputs, and signatures uploaded by the User, all intellectual property rights are reserved.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Digitaltouchology shall not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation:
- Loss of corporate profits, data, or business opportunities.
- Construction project delays, supply chain disruptions, or liquidated damages.
- Regulatory fines issued by regional workplace safety boards (e.g., OSHA, HSE).
- Physical injury or safety incidents occurring on-site.
The Platform is an administrative visualization and logging tool to assist project management; it does not replace professional human safety oversight or physical site inspections.
8. Suspension and Termination of Service
We reserve the right to suspend or terminate your access to the Platform immediately, without prior notice or liability, if:
- You or your on-site workers commit a material breach of these Terms and Conditions.
- Subscription fees associated with your project licenses are overdue.
- Your account activities pose a security risk to our real-time synchronization infrastructure or other tenants on our network.
9. Governing Law
These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the jurisdiction in which Digitaltouchology is incorporated, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in courts located in that corporate jurisdiction.
10. Modifications to the Terms
We reserve the right to modify or replace these Terms and Conditions at any time. If a revision is determined to be material, we will provide at least thirty (30) days' notice via the web management portal or admin email before the new terms take effect. Continued use of the Platform following the expiration of that notice period constitutes full acceptance of the updated terms.
